These Terms and Conditions ("Terms") govern the use of services provided by Digit Sparx Private Limited ("Digit Sparx", "we", "our", or "us"), based in Dwarka, New Delhi – 110078, India. By engaging our services, requesting a proposal, or using this website, you ("client", "you") agree to these Terms.
Digit Sparx provides website development, e-commerce and Shopify development, mobile app development, custom software, CRM/HRMS/School ERP systems, SaaS products, AI automation and chatbot solutions, WhatsApp automation, SEO and digital marketing, branding and content solutions, domain and hosting services, and related business registration and compliance support coordinated through our professional partner network. The exact scope for any engagement is defined in the applicable proposal, quotation, or written agreement, and work outside that scope is treated as a separate request.
Quotations and proposals are estimates based on the requirements shared at the time of preparation. Pricing may change if the scope, features, timeline, or complexity changes after the proposal is accepted. Proposals remain valid for the period stated in the document, or 15 days if no validity period is specified.
Clients are responsible for providing accurate business information, timely content (text, images, logos, product data, and approvals), access to required accounts or platforms, and prompt feedback during review stages. Delays in providing these inputs may directly affect the project timeline and are not attributable to Digit Sparx.
Estimated timelines are shared at the proposal stage based on the scope agreed and the assumption of timely client input. Timelines may shift due to change requests, delayed feedback, dependency on third-party platforms, or factors outside our reasonable control. Any material timeline change will be communicated to the client.
A reasonable number of revisions during the agreed development stages are included as part of standard delivery, as defined in the specific proposal. Requests that go beyond the agreed scope, introduce new features, or require rebuilding already-approved work are treated as change requests and may involve additional time and cost, communicated before work begins.
Payment structure (advance, milestone-based, or full upfront) is defined in the proposal or invoice. Applicable taxes, including GST, are charged as per prevailing Indian tax law and are shown separately on invoices where applicable. Work typically commences only after receipt of the agreed advance payment, and final deliverables, source files, or credentials are shared upon full and final payment unless otherwise agreed in writing.
If a payment milestone is delayed, Digit Sparx reserves the right to pause active work, delay delivery, or restrict access to staging environments and deliverables until the payment is received. Repeated payment delays may result in project suspension or cancellation subject to our Refund and Cancellation Policy.
Upon full and final payment, ownership of the final, client-specific deliverables (such as final website files, custom code developed specifically for the client, and final design assets) transfers to the client, unless a different arrangement is agreed in writing. Digit Sparx retains the right to reuse general frameworks, reusable components, internal tools, and non-client-specific methodologies developed during the engagement. Any third-party licensed assets (themes, plugins, stock images, fonts, or paid tools) remain governed by their respective third-party license terms.
Where Digit Sparx facilitates domain registration, hosting, SSL certificates, or similar third-party services on behalf of a client, these are subject to the respective registrar's, host's, or provider's own terms, pricing, and renewal policies. Digit Sparx is not responsible for outages, policy changes, or pricing changes made by these third-party providers, though we will assist with coordination and renewal reminders where such services are managed through us.
Where a project integrates third-party APIs or platforms (such as payment gateways, WhatsApp Business API/App, CRM tools, Google services, social media platforms, or marketplaces), the availability, approval, pricing, and policy terms of those platforms are controlled entirely by the respective third party. Digit Sparx implements integrations based on the documentation and terms available at the time, but cannot guarantee continued availability, approval, or feature stability of any third-party service.
For SEO, Google Ads, social media marketing, and GEO/AI search optimization services, Digit Sparx applies recognized best practices, technical fundamentals, and content strategy. However, we do not and cannot guarantee specific search rankings, traffic numbers, lead volumes, ad performance, or appearance in any AI-generated answer, since these outcomes depend on factors controlled by search engines, advertising platforms, and generative AI systems, and on market and competitive conditions outside our control.
Where our services include assistance with Google Business Profile setup, optimization, or related listings, verification, suspension, reinstatement, review handling, and approval decisions are made solely by Google (or the relevant platform) according to their own policies. Digit Sparx will apply best-practice guidance and coordinate on your behalf where requested, but cannot guarantee verification outcomes, listing approval, reinstatement of a suspended profile, or protection from future platform policy changes.
Both parties agree to keep confidential business information, project details, and credentials shared during the engagement private, and not disclose them to unrelated third parties, except where required by law or necessary to deliver the agreed services (for example, sharing limited details with a hosting provider to complete deployment).
To the maximum extent permitted by applicable law, Digit Sparx's total liability for any claim arising from a project shall not exceed the amount actually paid by the client for that specific project. Digit Sparx is not liable for indirect, incidental, or consequential losses, including loss of revenue, business opportunity, or data, arising from the use of delivered systems, third-party platform decisions, or events outside our reasonable control.
Either party may request cancellation of an ongoing engagement, subject to the terms outlined in our Refund and Cancellation Policy, which governs advance payments, work already completed, and any non-refundable third-party costs already incurred.
Post-launch support is provided as described in our Support Policy. Support scope, response expectations, and what is excluded (such as new feature development or major redesigns) are defined there and, where applicable, in a separate maintenance or AMC agreement.
These Terms are governed by the laws of India, and any disputes arising from these Terms or from a service engagement with Digit Sparx shall be subject to the exclusive jurisdiction of the courts at New Delhi, India.
Digit Sparx may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The latest version will always be available on this page, and continued use of our services after an update constitutes acceptance of the revised Terms.
For project-specific terms, the applicable signed proposal or agreement takes precedence over this general page wherever the two differ.
